These Terms of Service ("Terms") govern your access to and use of the P23-EDU wholesale intelligence education library at twenty3.tech (the "Library"), operated by TWENTY3 Intelligence LLC ("Company," "we," "us," or "our"). By accessing or using the Library, you agree to be bound by these Terms.
1. The Library
The Library provides free access to calculators, guides, templates, and reference materials related to wholesale operations in the gift and lifestyle industry. All browser-based tools are free to use without registration. PDF and Excel downloads require a one-time email submission.
2. Permitted Use
You may access and use the Library for your own internal business purposes. You may share links to individual Library pages. You may use outputs from calculators and tools to inform your own business decisions.
3. Prohibited Use
You may not: (a) reproduce, redistribute, or republish Library content as your own; (b) use the Library to build a competing product or service; (c) scrape, crawl, or systematically download Library content; (d) remove or obscure any attribution or copyright notices; (e) use the Library in any way that violates applicable law.
4. Intellectual Property
All content in the Library, including calculators, guides, templates, scoring frameworks, and written materials, is owned by TWENTY3 Intelligence LLC or its licensors. The P23 scoring methodology, controlled vocabulary system, and product selection rules are proprietary. Nothing in these Terms grants you any ownership interest in Library content.
5. No Warranty
The Library is provided "as is" without warranty of any kind, express or implied. We make no representations regarding the accuracy, completeness, or fitness for purpose of any Library content. Calculator outputs are estimates based on generalized assumptions and should not be treated as professional financial, legal, or operational advice.
6. Limitation of Liability
To the maximum extent permitted by law, TWENTY3 Intelligence LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Library, including any reliance on calculator outputs or guide content.
7. Changes
We reserve the right to modify or discontinue any part of the Library at any time without notice. We may update these Terms periodically. The "Last updated" date reflects the most recent revision. Continued use of the Library constitutes acceptance of any updated Terms.
8. Governing Law
These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of New York County, New York.
